These Terms of Service ("Terms") govern access to and use of the Boxsy platform, website (boxsy.io), and related services (collectively, the "Services").

By creating an account, starting a trial, or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts.

If you use Boxsy on behalf of an organization, you represent that you have authority to bind that organization.

2. Services Overview

Boxsy provides software tools to support:

• Fundraising management
• Investor relations
• Operational workflows
• AI-powered productivity features

Features may evolve over time. We may add, remove, or modify functionality.

3. Accounts

You are responsible for:

• Maintaining account security
• Keeping login credentials confidential
• All activity under your account

You must provide accurate information.

We may suspend or terminate accounts that violate these Terms.

4. Subscriptions, Trials & Payments

Free Trials

If you start a free trial, you will not be charged until the trial ends.

Paid Subscriptions

Subscriptions automatically renew unless canceled.

You may cancel at any time.

• No refunds are provided for partial billing periods.
• Access continues until the end of the current billing cycle.

Payments are processed by third-party providers (e.g., Stripe).

5. Customer Data

You retain ownership of all content and data uploaded to the platform ("Customer Content").

You grant Boxsy a limited license to process Customer Content solely to:

• Provide the Services
• Maintain security
• Improve functionality
• Comply with legal obligations

You are responsible for ensuring you have rights to upload and process the data.

6. AI Features

Boxsy includes AI-powered functionality ("Boxsy Sherpa").

By using AI features:

• You authorize processing of submitted prompts and related content.
• AI outputs may contain inaccuracies.
• You remain responsible for reviewing and validating outputs before relying on them.

We do not use Customer Content to train public AI models.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Attempt to reverse engineer or disrupt the platform
• Upload malicious code
• Violate privacy or intellectual property rights
• Use the platform to harass or harm others

We may suspend access for violations.

8. Third-Party Integrations

You may connect third-party services.

Boxsy is not responsible for:

• Third-party functionality
• Third-party data practices
• Downtime or API failures

Use of third-party services is governed by their terms.

9. Confidentiality

Each party agrees to protect the other's confidential information and use it only for purposes of providing or using the Services.

10. Intellectual Property

Boxsy owns:

• The platform
• Software
• Branding
• Documentation
• AI systems

These Terms do not transfer ownership to users.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available."

We do not guarantee:

• Uninterrupted access
• Error-free operation
• Specific business outcomes

AI outputs are probabilistic and may contain inaccuracies.

12. Limitation of Liability

To the maximum extent permitted by law:

Boxsy's total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

We are not liable for:

• Indirect or consequential damages
• Lost profits
• Data loss caused by user actions
• Third-party failures

13. Termination

You may terminate at any time.

We may suspend or terminate for:

• Breach of Terms
• Security risk
• Legal compliance

Certain provisions survive termination (liability, IP, confidentiality).

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

15. Updates

We may update these Terms from time to time. Continued use constitutes acceptance.
